Vara Security provides behavioral risk analysis, fraud prevention technology, and related software tools designed to assist organizations in detecting and mitigating fraud and social engineering risks.

You may use the Services only if you:

• Are at least 18 years old;
• Have the legal capacity to enter into binding agreements; and
• Are using the Services on behalf of a lawful business or organization (if applicable).

If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

3. User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Services in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to any systems, networks, or data;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Services;

You are responsible for maintaining the confidentiality of any login credentials and for all activities occurring under your account.

All content, software, algorithms, models, technology, documentation, trademarks, logos, and materials included in or made available through the Services are owned by Vara Security Inc. or its licensors and are protected by intellectual property laws.

Nothing in these Terms grants you ownership of the Services or any related intellectual property rights.

5. Fees and Payment

Certain Services may require payment of fees. If you purchase paid Services, you agree to pay all applicable fees as described at the time of purchase.

Unless otherwise specified in a separate written agreement:

• All fees are non-refundable.
• Payments are due in advance.
• We may suspend or terminate access for non-payment.

6. Confidentiality

If you receive non-public information relating to the Services, including technical documentation, pricing, or product roadmaps, you agree to keep such information confidential and not disclose it to third parties without our written consent.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and process information.

You represent and warrant that you have all necessary rights and permissions to provide any data submitted through the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARA SECURITY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

• The Services will be uninterrupted or error-free;
• The Services will prevent all fraud, unauthorized transactions, or security incidents;
• Any risk score or behavioral assessment will be accurate or complete.

The Services are intended as a risk assessment tool and should not be relied upon as the sole basis for decision-making.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARA SECURITY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO VARA SECURITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vara Security Inc., its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of:

• Your misuse of the Services;
• Your violation of these Terms; or
• Your violation of applicable laws or third-party rights.

11. Suspension and Termination

We may suspend or terminate your access to the Services at our discretion, including if:

• You violate these Terms;
• We believe your use poses a security risk;
• Required by law.

Upon termination, your right to use the Services will immediately cease.

12. Modifications to the Services or Terms

We may modify these Terms or the Services at any time. Updated Terms will be posted on our website with a revised “Last Updated” date.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware.

14. Entire Agreement

These Terms constitute the entire agreement between you and Vara Security Inc. regarding the Services and supersede all prior agreements or understandings.
